Platform Terms of Use

Last updated: October 2026

1. Acceptance

By accessing and using the Alodiga platform and its modules, you accept these Terms of Use, the Privacy Policy and the terms of the contract signed with your institution. In the event of conflict, the contract prevails.

2. B2B nature and regulatory responsibility

The services are aimed at financial institutions and businesses, not consumers. The client represents that it:

  • Has the authority to bind its organization.
  • Holds the authorizations from SUDEBAN, the BCV, SUNACRIP or any other body required for its activity, or will obtain them before activating the corresponding service.
  • Is the obligated entity before its users and regulators, particularly regarding ML/TF/PF (LOCDOFT and SUDEBAN Resolution No. 010.25), user protection, banking secrecy and electronic banking (SUDEBAN Resolution No. 641.10).
  • Will use the platform in accordance with Venezuelan law and the law of the country where it operates.

3. License

Alodiga grants a limited, non-exclusive and non-transferable license for the term of the contract. The client agrees not to:

  • Modify, decompile or reverse engineer the software.
  • Use the platform for unlawful purposes, to circumvent compliance controls or for transactions with persons on sanctions lists.
  • Test the platform's security without written authorization (agreed tests are coordinated with our team).
  • Share credentials or API keys with unauthorized persons.
  • Use the outputs of Alodiga's AI models to build products that compete with it.

4. Services

Depending on what is contracted, the platform includes: AloCore Banking, AloConnect Middleware, PIE, AloPay Acquiring, AloCompliance, AntiFraude AI, Smart Factoring, Community Banking, Plan Mayor, International Payments and Remittances, White-label Wallet, Punto Digital, Business Portal and AloMeet Video Banking. The regulatory framework for each module is described on its page of the website.

5. Use of artificial intelligence

  • AI features (risk scoring, monitoring, identity verification and operations assistant) are support tools. The client retains the final decision and must maintain human oversight.
  • Each risk result includes its explanatory factors. The client must offer its users a way to request human review.
  • The client must not use AI for discriminatory or unlawful decisions.
  • Using data to train internal models requires the express authorization set out in the Privacy Policy (section 7).

6. Client obligations

  • Safeguard credentials and keys, and apply multi-factor authentication to its operators.
  • Obtain its users' consent where required by law, including for biometric data.
  • Immediately report any unauthorized access or incident.
  • Test changes in the test environment before moving them to production.
  • Reconcile funds and be responsible for transactions executed under its authorization.

7. Availability and continuity

Availability, support and recovery time levels are those set out in the contract's SLA. Alodiga maintains business continuity and disaster recovery plans, and gives advance notice of scheduled maintenance. It is not liable for interruptions caused by force majeure, failures of connectivity or power providers beyond its control, or acts of the client.

8. Transactions and payments

  • Alodiga acts as a technology provider: it does not receive, hold or transfer funds on its own account.
  • Foreign currency transactions and payments are executed in accordance with BCV regulations and through the authorized entities designated by the client.
  • Fees are governed by the contract.

9. Audit and supervision

The client and SUDEBAN may audit the outsourced services under the terms of the contract and applicable regulations. Alodiga provides the records, reports and evidence required, while preserving the confidentiality of other clients.

10. Limitation of liability

To the extent permitted by law, Alodiga is not liable for indirect damages, lost profits or loss of reputation. Its total liability is limited to the amounts paid by the client in the twelve (12) months prior to the event, except in cases of willful misconduct or gross negligence, or as otherwise provided in the contract.

11. Termination

  • For material breach of these terms or the contract.
  • By order of a competent authority or when the use violates the law.
  • For a proven fraud or security risk.
  • For non-payment within the agreed terms.

Upon termination, Alodiga delivers the institution's data in a standard format and, once the legal retention period has elapsed, deletes or anonymizes it.

12. Governing law

For clients in Venezuela, the laws of the Bolivarian Republic of Venezuela apply and disputes are resolved by arbitration under the Commercial Arbitration Law (Ley de Arbitraje Comercial), unless otherwise agreed in the contract. For other countries, the terms of the contract apply.

13. Changes

Alodiga may update these terms. Significant changes will be communicated at least thirty (30) days in advance.
