2. Nature of the business
Alodiga is not a bank or a banking sector institution. It does not take deposits from the public, does not grant credit on its own account and does not hold third-party funds. It provides software and technology services to institutions that operate under their own authorization.
The client institution is the obligated entity before the Superintendency of Banking Sector Institutions (SUDEBAN), the Central Bank of Venezuela (BCV) and other authorities. Alodiga provides it with the controls, records and evidence it needs to comply.
When a service requires prior authorization, for example as a financial technology institution under SUDEBAN Resolution No. 001.21 or from SUNACRIP for digital assets, that service is activated only once the corresponding authorization has been obtained.
3. Intellectual property
Alodiga's software, documentation, designs, trade names and trademarks are the property of Alodiga or its licensors. This includes, among others:
- AloCore Banking, AloConnect Middleware, PIE (Product Intelligence Engine), AloPay Acquiring, AloCompliance and AntiFraude AI
- Smart Factoring, Community Banking and Plan Mayor
- White-label Wallet, Punto Digital, Business Portal and AloMeet Video Banking
- The artificial intelligence models, rules, parameters and anonymized datasets developed by Alodiga
Reproducing, modifying, distributing or using these elements without Alodiga's written authorization is prohibited.
4. Applicable regulatory framework
The platform is designed so that the client institution can comply with the following Venezuelan framework:
- Constitution of the Bolivarian Republic of Venezuela, articles 28 (habeas data), 48 (secrecy of communications) and 60 (protection of private life against the use of information technology).
- Case law of the Constitutional Chamber of the Supreme Court of Justice (TSJ) on personal data protection (ruling of August 4, 2011), which sets out the principles of consent, purpose limitation, data quality, time limitation and security.
- Decree with Rank, Value and Force of Law on Banking Sector Institutions (Ley de Instituciones del Sector Bancario, Official Gazette – G.O. Ext. No. 6.154 of 11/19/2014), in particular banking secrecy and the outsourcing of services.
- Organic Law against Organized Crime and Terrorist Financing (LOCDOFT) and SUDEBAN Resolution No. 010.25 on ML/TF/PF risks (LC/FT/FPADM).
- SUDEBAN Resolution No. 001.21 (financial technology services) and SUDEBAN Resolution No. 641.10 (electronic banking).
- Decree-Law on Data Messages and Electronic Signatures (Ley sobre Mensajes de Datos y Firmas Electrónicas) and Special Law against Computer Crimes (Ley Especial contra los Delitos Informáticos).
- Central Bank of Venezuela (BCV) regulations on payment systems, interest rates and the foreign exchange regime.
And with international reference standards: PCI DSS and PCI MPoC for card data, ISO/IEC 27001 and ISO/IEC 27002 for information security, ISO 20022 for financial messaging, FATF and GAFILAT recommendations, and the OECD AI Principles together with ISO/IEC 42001. In other countries, the equivalent local regulation applies.
5. Use of artificial intelligence
Alodiga uses artificial intelligence to detect fraud, monitor transactions, verify identities and assist operations teams. These systems support human decisions: the client institution retains the final decision and can review the reasons behind each result.
The processing of data to train and improve models is governed by the Privacy Policy (sections 6 and 7). Alodiga will adapt its practices to the Artificial Intelligence Law enacted by the National Assembly, currently under discussion.
6. Indemnification
The client agrees to hold Alodiga harmless against:
- Third-party claims arising from use of the platform in breach of the contract or the law
- Regulatory breaches attributable to the client as the obligated entity
- Damages from compromised credentials due to causes attributable to the client
- Disputes arising from the services the client provides to its users
7. Warranties
Alodiga warrants that the platform will operate in accordance with the technical documentation and the service levels agreed in the contract. Beyond that warranty, and to the extent permitted by law, no additional implied warranties are granted.
8. Governing law and dispute resolution
For clients in Venezuela, these terms are governed by the laws of the Bolivarian Republic of Venezuela. Disputes will be resolved through arbitration under the Commercial Arbitration Law (Ley de Arbitraje Comercial), unless the contract provides for another mechanism or the law requires the intervention of the courts.
For clients in other countries, the law and forum set out in the contract apply.
9. Severability
If any provision is held void or unenforceable, the remaining provisions will remain in full force and effect.
10. B2B commitments
As a technology service provider to regulated institutions, Alodiga commits to:
- Meet the service levels (SLA) and support agreed in each contract
- Keep data encrypted in transit and at rest, with controls aligned with ISO/IEC 27001 and 27002
- Facilitate audits and inspections of outsourced services by the client institution and by SUDEBAN
- Notify, without undue delay, any security incidents affecting the institution
- Provide the information the institution needs for its regulatory reporting
